1. Acceptance of Terms

• Binding Agreement: These Terms constitute a legally binding agreement between you and Meraki Softworks LTD concerning your access to and use of the App.
• Additional Policies: Your use of the App is also subject to our Privacy Policy (the “Privacy Policy”), which explains how we collect, use, and share your personal information. By using the App, you agree to be bound by the Privacy Policy.
• Age Requirement: You must be at least [16/18] years old (or the age of majority in your jurisdiction) to use the App. If you are under the required age, please do not use the App.

2. Modifications to These Terms

• Right to Modify: We reserve the right to revise or update these Terms at any time, in our sole discretion. When we do, we will post the updated version with a new “Last Updated” date and, if the changes are significant, provide additional notice (e.g., email or in-app notification).
• Acceptance of Changes: Your continued use of the App after any posted modifications to these Terms indicates your acceptance of those changes. If you do not agree to the modified Terms, you must stop using the App.

3. Use of the App

• License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to download and use the App for personal, non-commercial purposes.
• Updates and Changes to the App: We may from time to time develop patches, bug fixes, updates, or other modifications to improve the performance of the App. We reserve the right to implement such updates without prior notice.
• Equipment and Connectivity: You are responsible for obtaining and maintaining the devices, wireless or other communication services, and internet access necessary to use the App.

4. User Accounts and Responsibilities

• Registration: To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.
• Account Security: You are solely responsible for keeping your login credentials confidential and for all activities that occur under your account. If you suspect any unauthorized use of your account, you must notify us immediately at contact@merakisoftworks.com.
• User Conduct: You agree not to use the App to post, transmit, or share any content that is unlawful, harmful, or otherwise objectionable. Meraki Softworks LTD may investigate and take legal action against users who violate this provision.

5. Prohibited Conduct

You agree not to engage in any of the following activities:

• Using the App for any illegal, fraudulent, or unauthorized purpose.
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Interfering with or disrupting the App or servers/networks connected to the App, or disobeying any requirements, procedures, policies, or regulations of networks connected to the App.
• Attempting to gain unauthorized access to any portion or feature of the App or any other systems or networks connected to the App by hacking, password “mining,” or any other illegitimate means.

6. Intellectual Property Rights

• Ownership: All intellectual property rights in and to the App (including but not limited to software, text, graphics, logos, and trademarks) are owned by or licensed to Meraki Softworks LTD. Nothing in these Terms transfers any ownership rights to you.
• User Content: If you post, upload, or otherwise submit content via the App, you represent and warrant that you have all necessary rights to grant Meraki Softworks LTD a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, and display your content solely for the operation and promotion of the App.

7. Disclaimer of Warranties

The App is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Meraki Softworks LTD disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will meet your requirements, be uninterrupted, or error-free.

8. Limitation of Liability

• To the maximum extent permitted by applicable law, Meraki Softworks LTD and its affiliates, officers, employees, agents, or licensors shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or data, arising out of or in connection with your use of the App.
• In no event shall Meraki Softworks LTD’s aggregate liability exceed the total amount of fees (if any) paid by you to Meraki Softworks LTD in connection with the App during the three (3) months immediately preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Meraki Softworks LTD, its affiliates, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorneys’ fees) arising from:

• Your use of and access to the App.
• Your violation of any term of these Terms.
• Your violation of any third-party right, including without limitation any intellectual property or privacy right.

10. Termination

• Right to Terminate: We may suspend or terminate your access to the App at any time, for any reason, and without notice, including if we believe you have violated these Terms.
• Effect of Termination: Upon termination, all rights granted to you under these Terms will cease immediately. You may not continue to access or use the App. Any provision intended by its nature to survive termination (e.g., disclaimers, limitation of liability, indemnification) shall remain in full force and effect.

11. Governing Law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or relating to these Terms shall be instituted in the courts of England and Wales, and you consent to the personal jurisdiction of these courts.
